1. Introduction and acceptance of terms

These Terms of Service (“Terms”) govern the provision of voiceover and related audio services by Northbridge Voiceover Ltd, a voiceover business operating from Northbridge Voiceover, 14 Clerkenwell Road, London EC1M 5RJ, United Kingdom (“Northbridge Voiceover Ltd”, “we”, “us”, or “our”).

By placing an order, requesting a quotation, confirming a booking, making payment, or otherwise engaging our services, the client (“you” or “Client”) agrees to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

These Terms apply to all services provided by Northbridge Voiceover Ltd, including any proposal, quotation, statement of work, invoice, email confirmation, or other written agreement referencing these Terms.

2. Scope of services

Northbridge Voiceover Ltd provides voiceover and related audio production services, which may include, without limitation:

Unless expressly agreed otherwise in writing, our services are limited to voice recording and any deliverables specifically stated in the applicable quotation or order confirmation. Services such as scriptwriting, proofreading, translation, adaptation, audio engineering, music licensing, mixing, mastering, synchronisation, casting, revisions beyond the agreed scope, or usage rights expansion may be provided separately and may incur additional charges.

We reserve the right to decline any project content that we reasonably consider unlawful, defamatory, discriminatory, misleading, offensive, technically unsuitable, or inconsistent with our professional standards.

3. User obligations and responsibilities

You are solely responsible for the legality and suitability of any content you provide. If you instruct us to record material that is misleading, unlawful, infringing, or otherwise inappropriate, you agree that we may suspend or refuse performance without liability.

If a session is delayed due to your failure to provide necessary information, approvals, or materials, we may adjust delivery timelines and charge reasonable additional fees where applicable.

4. Payment terms and conditions

All fees, pricing, and payment terms will be set out in our quotation, invoice, or written agreement. Unless otherwise stated:

Unless otherwise agreed in writing, quotes are valid only for a limited period and may be revised if project details, usage scope, script length, turnaround, or recording requirements change. Any additional work requested after approval of the script or initial brief may be charged separately at our then-current rates.

Payment disputes must be raised promptly and in good faith. Undisputed amounts remain payable in accordance with the invoice terms.

5. Cancellation and refund policy

Because our services are bespoke and often time-sensitive, cancellations and refunds are subject to the following principles unless a different written arrangement has been made:

Requests for revisions or retakes are not cancellations and will be handled in accordance with the agreed revision policy, if any. Additional revision rounds, script changes, or changes in direction after approval may incur extra fees.

6. Liability limitations

To the fullest extent permitted by applicable law, Northbridge Voiceover Ltd shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary losses or damages, including loss of profit, loss of revenue, loss of business, loss of goodwill, or business interruption, arising out of or in connection with our services or these Terms.

Our total aggregate liability for any claim arising from or related to the services, whether in contract, tort, negligence, misrepresentation, or otherwise, shall be limited to the amount paid by you for the specific services giving rise to the claim during the three (3) months preceding the event giving rise to liability, or such other amount as may be required by applicable law.

We do not exclude or limit liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

You acknowledge that voiceover services may be affected by factors outside our control, including technical issues, script changes, client delays, and third-party platform requirements. We are not responsible for errors or omissions caused by inaccurate scripts, inadequate direction, or materials supplied by you or third parties.

7. Intellectual property rights

Unless otherwise agreed in writing:

Where usage rights are limited by territory, term, media, or campaign, any additional use requires further written agreement and may be subject to additional fees. We reserve the right to request that our name or role not be attributed publicly if doing so is commercially sensitive or inconsistent with the project brief.

You warrant that materials supplied by you do not infringe any intellectual property, moral rights, privacy rights, publicity rights, or other rights of any third party, and you agree to indemnify us against any claims arising from your breach of this warranty.

8. Data protection and privacy

Northbridge Voiceover Ltd processes personal data in accordance with applicable data protection and privacy laws. We will use personal information only where lawful to do so, including for the performance of our services, communication, invoicing, record-keeping, legal compliance, and legitimate business purposes.

We may collect and process information such as names, business contact details, billing details, scripts, project instructions, correspondence, and technical metadata associated with service delivery. Where necessary, we may share data with trusted service providers, payment processors, accountants, legal advisers, cloud storage providers, and other vendors acting on our behalf, subject to appropriate safeguards.

You are responsible for ensuring that any personal data contained in scripts, recordings, or project materials has been collected and shared lawfully. If you provide us with personal data relating to third parties, you confirm that you have the necessary rights and permissions to do so.

We will take reasonable technical and organisational measures to protect personal data, but no system is completely secure. To the extent permitted by law, we are not responsible for unauthorised access arising from events beyond our reasonable control.

9. Force majeure

Northbridge Voiceover Ltd shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from events beyond our reasonable control, including but not limited to:

If a force majeure event occurs, we will use reasonable efforts to mitigate the impact and resume performance as soon as practicable. If the event continues for an unreasonable period, either party may have the right to terminate the affected services upon written notice, subject to payment for work already performed.

10. Changes to terms

We may update or revise these Terms from time to time to reflect changes in our business practices, services, legal requirements, or operational needs. The revised Terms will apply from the date stated in the updated version or, where appropriate, upon communication to you.

Your continued engagement of our services after any update constitutes acceptance of the revised Terms. It is your responsibility to review the current Terms before placing each order or confirming each booking.

11. Applicable law and jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, shall be governed by and construed in accordance with the laws applicable in England and Wales, unless mandatory law provides otherwise.

Subject to any mandatory consumer protections or dispute resolution requirements, the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising from or relating to these Terms or the services provided by Northbridge Voiceover Ltd.

13. Severability clause

The remaining provisions shall continue in full force and effect. Any failure by Northbridge Voiceover Ltd to enforce any right or provision under these Terms shall not constitute a waiver of that right or provision unless expressly stated in writing.
